Welcome to ScrubCampus. These Terms of Service (“Terms”) constitute a legally binding agreement between you and ScrubCampus (“we,” “our,” or “us”) governing your access to and use of the ScrubCampus platform, including our website, applications, and related services (collectively, the “Service”).
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization (such as your employer or educational institution), you represent that you have authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.

Account Requirements
To create an account, you must:
- Be at least 18 years old, or the age of majority in your jurisdiction
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your password confidential and secure
- Notify us immediately of any unauthorized access to your account
You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
Account Security
You are responsible for maintaining the security of your account credentials. You agree to:
- Choose a strong, unique password
- Not share your account credentials with others
- Enable multi-factor authentication when available
- Log out of shared devices after use

Your Content
“Your Content” means any content you submit, post, or upload to the Service, including quiz responses, custom questions, study materials, profile information, and communications.
You retain ownership of Your Content, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute Your Content solely to provide and improve the Service. This license ends when you delete Your Content or your account.
You represent and warrant that:
- You own or have the right to use and share Your Content
- Your Content does not infringe any third-party rights
- Your Content complies with these Terms and applicable laws

Free and Paid Services

Termination by Us
We may suspend or terminate your account and access to the Service immediately, without prior notice, if:
- You breach these Terms
- Your conduct harms other users or our reputation
- Required by law or to protect safety
- Your account is inactive for an extended period
- We discontinue the Service
Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- You remain liable for all amounts due
- We may retain certain data as required by law
- Sections that should survive termination will remain in effect

Availability
We do not guarantee that the Service will be available at all times or that it will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue the Service at any time without notice.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

- Your Content
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable laws
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
Arbitration Agreement & Class Action Waiver
For individual users, disputes may be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if eligible. The arbitration shall be conducted by a mutually agreed arbitrator under the rules of the American Arbitration Association.
CLASS ACTION WAIVER: YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.
Changes to Terms
We may modify these Terms at any time. When we make changes, we will:
- Update the “Last Updated” date at the top of these Terms
- Notify you of material changes via email or prominent notice on the Service
- For significant changes, provide at least 30 days’ notice before they take effect
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
